Terms of Service
The agreement between you and Restart when you browse, quote, buy, or sell through our new and refurbished IT hardware marketplace.
Agreement
By using restart.shop, creating an account, or placing an order, you agree to these terms. If you do not agree, please do not use the site. These terms apply to everyone who visits — logged in or not.
Account responsibilities
You are responsible for the accuracy of the information on your account and for everything that happens under your credentials. Keep your password private, use a unique one, and let us know promptly if you suspect unauthorised access. You must be at least the age of majority in your jurisdiction to place orders.
Product descriptions and pricing
We work hard to describe each listing accurately — grade, battery health where available, cosmetic condition, and included accessories. Occasionally a description, image, or price is wrong. We reserve the right to correct errors, update information, and cancel any order that was placed against an incorrect listing, including after an order has been confirmed. If we cancel for this reason, you get a full refund.
Orders and acceptance
An order placed on Restart is an offer to buy. It is not accepted until we confirm the item has shipped. Until then we may decline an order for any reason — inventory discrepancies, suspected fraud, payment problems, or pricing errors among them.
Business orders, POs, and NET 30
Restart primarily serves business buyers — procurement teams, MSPs, IT departments, and resellers. Orders over [$5,000] may require a purchase order referencing your legal entity, bill-to and ship-to addresses, and an authorised signatory.
NET 30 payment terms are available on credit approval. Applications are reviewed within 2 business days; approved accounts receive a credit limit and may place orders on open terms up to that limit. We accept payment by ACH, wire transfer, credit card, or purchase order against approved credit.
Tax-exempt or resale certificates are kept on file once provided and applied to all subsequent orders on the same account. It is your responsibility to notify us when a certificate is updated or revoked.
When an employee, contractor, or agent places an order on behalf of a business — whether by PO, corporate card, or account credentials — they represent that they are authorised to do so, and that business is bound by these terms for that order.
Refurbished grade disclaimer
Restart sells both new and refurbished units. New units are sourced through authorised and verified distribution channels and arrive sealed in factory packaging. Refurbished units are graded A, B, or C — cosmetic condition varies by grade, and every grade definition is published on the product page and in our warranty policy. Refurbished devices may show signs of prior use (visible wear on lower grades, minor variances in battery cycle count, or non-original packaging) even when functioning perfectly. Only defects that fall outside a unit's stated condition qualify for return under warranty.
Intellectual property
The Restart name, logo, site design, photography, and original copy are our property or licensed to us. You may not copy, scrape, or redistribute them except as expressly permitted. Product names and trademarks mentioned on listings belong to their respective owners and are used only to identify the goods being sold.
Prohibited uses
- Reselling, scraping, or reverse-engineering the site or its APIs.
- Submitting false information, using another person's payment method, or impersonating anyone.
- Interfering with the site's operation, including probing, stress-testing, or bypassing security controls.
- Using Restart to launder funds, evade taxes, or commit any other unlawful act.
Disclaimers and limitation of liability
Except for the express warranty described in our warranty policy, the site and the products are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Restart disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Restart's total liability for any claim arising out of or relating to the site or a purchase is limited to the amount you paid for the item at issue. Restart is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, even if advised of the possibility.
Indemnification
You agree to defend and indemnify Restart and its affiliates, officers, and employees against any claim arising from your violation of these terms, your misuse of the site, or your violation of any law or third-party right.
Governing law
These terms are governed by the laws of the [State of California], without regard to its conflict-of-laws rules. The federal and state courts located in that jurisdiction are the exclusive venue for any claim not subject to arbitration.
Dispute resolution
Any dispute you have with Restart that cannot be resolved informally will be settled by binding individual arbitration, not in court. You may opt out of arbitration within 30 days of creating your account by emailing [[email protected]] with your name and the subject line "Arbitration Opt-Out". Class actions and class arbitrations are not permitted.
Changes
We may update these terms as the business evolves. When we make material changes, we update the "Last updated" date above and, where the change is significant, notify account holders by email. Continued use after an update means you accept the revised terms.
